Terms & Conditions

These Terms & Conditions (“Terms”) explain how I work with clients. They apply to all brand strategy, consulting, and advisory services provided by immergrün (“I,” “me,” or “my”) to you (“the Client”).

By engaging my services, you confirm that you’ve read, understood, and agreed to these Terms.

1. Our Working Relationship

I work as an independent brand strategy consultant. Nothing in these Terms creates a partnership, employment relationship, or joint venture. I collaborate closely with clients, but I remain independent at all times.

2. Scope of Work

All work is agreed in writing before I begin. This may take the form of a proposal, contract, or statement of work and will outline:

  • The scope of services,

  • Deliverables,

  • Timelines,

  • Fees and payment terms.

Anything outside the agreed scope may require a revised fee or timeline. I’ll always discuss this with you before proceeding.

3. Your Role

The best strategy work is collaborative. You agree to:

  • Provide timely feedback, information, and approvals,

  • Ensure any materials you supply are accurate and lawful,

  • Respond within reasonable timeframes so the project can progress smoothly.

Delays in feedback or approvals may affect timelines.

4. Fees & Payment

Fees are set out in your proposal or agreement.

Unless otherwise stated:

  • Invoices are payable within 14 days,

  • Late payments may result in work being paused,

  • Any reasonable costs incurred in recovering overdue payments may be chargeable.

All fees are exclusive of VAT unless stated otherwise.

5. Intellectual Property

Until full payment has been received, all work remains my intellectual property.

Once payment is complete:

  • You receive a licence to use the final agreed deliverables for their intended purpose,

  • I retain ownership of my underlying methodologies, frameworks, processes, and know-how.

Unless we agree otherwise in writing, I may showcase non-confidential work as part of my portfolio or case studies.

6. Confidentiality

I respect confidentiality and expect the same in return. Both of us agree to keep any non-public, sensitive, or proprietary information shared during the project confidential.

This obligation continues after the project has ended.

7. Outcomes & Expectations

Brand strategy is nuanced and context-dependent. While I bring experience, insight, and care to every engagement, I cannot guarantee specific commercial, financial, or performance outcomes.

My role is to guide, challenge, and clarify. Implementation and results depend on many factors beyond my control.

8. Feedback, Revisions & Sign-Off

Where relevant, the number of feedback rounds will be outlined in the agreed scope of work.

Feedback should be provided clearly and within agreed timelines.

Once work has been approved or signed off, further changes may be treated as additional work.

9. Ending the Engagement

Either of us may end the engagement by providing written notice in line with the agreed contract terms.

If the project ends early:

  • You’ll be invoiced for work completed up to that point,

  • Any non-refundable deposits remain payable.

10. Limitation of Liability

To the fullest extent permitted by law, I am not liable for indirect, incidental, or consequential losses arising from my services.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law.

11. Data Protection

Any personal data shared as part of our work will be handled in accordance with UK GDPR and the Data Protection Act 2018. Further details are available in my Privacy Policy.

12. Governing Law

These Terms are governed by the laws of the Scotland, and any disputes will be subject to the exclusive jurisdiction of the Scottish courts.
